"основным" хозяйственным обществом. понятие м.к. широко используется в зарубежном законодательстве о компаниях (корпорациях), в том числе в директивах ес по праву компаний, а также в налоговом законодательстве. в американском праве они называются холдинговыми (держательскими) компаниями. м.к. контролирует деятельность своих дочерних хозяйственных обществ, фактически определяя их действия в гражданском обороте, а потому при определенных законом условиях должна нести по их сделкам субси-диарную или солидарную ответственность (п. 2 ст. 105 гкрф). в остальном м.к. являются обычными хозяйственными товариществами или обществами. понятие м.к. имеет юридический смысл только в отношениях с дочерними компаниями (дочерними хозяйственными обществами).
