  1. Provisions that place constraints on the operations of borrowers, such as restrictions on working capital, fixed assets, future borrowing, and payment of dividends.

  2. Restrictive covenants are agreements which inhibit the employee’s ability to compete with the employer, and to lure away their clients or employees. these are usually called non-competes and non-solicits. they can exist both during and after employment. restrictive covenants protect the employer’s interest by restraining the employee from using knowledge gained during the course of employment about the employer’s business to compete with the employer.  

  3. A clause in an employment contract that sets limits on what the employee can do. usually these will prohibit an employee from competing with their former employer for a set period of time after leaving the business.

An agreement between two or more individuals, incorporated within a deed which stipulates how land may be used. the constraints may include: the specific use to which a property can be put, the location and dimensions of fences, the setback of buildings from the street, the size of yards, the type of architecture, the cost of the house, etc. racial and religious restrictions on inhabitants are legally unenforceable.

  2. Also known as a negative covenant; a provision in a contract excluding key employees from working for competitors in a certain geographic area and for a certain length of time.

  3. A restrictive covenant is contractual provision in which a party agrees to be restrained in some way. these can include covenants to not do certain types of work (non-competition agreements), to not seek work or services from others (non-solicitation agreements) and to make no use of proprietary or confidential information (confidentiality agreements).
